01. OBJECT
The purpose of these rules is to regulate the granting of the Promálaga Base program for the promotion of emerging companies within the Malaga entrepreneurial ecosystem, aimed at 30 business projects or companies established with a maximum age of 5 years and completely free of charge for them.
This program offers specialized advice for the creation of stronger and more consolidated companies, in order to obtain qualification from ENISA as an emerging company, innovative SME and/or any other qualification that improves the viability and competitiveness of business projects and entrepreneurial ecosystem based in Malaga.
02. REQUIREMENTS
To be a beneficiary of the free program Promálaga Base the following requirements must be met:
- Entrepreneurs or active companies that have been operating for less than 5 years.
- The business project must include support for innovation, technology, and sustainability among its defining characteristics, with particular relevance to projects that use AI-based technology or that require ensuring the transparency of their algorithmic processes.
- Have the registered office and tax domicile in Malaga city or a commitment to establish them before the end of the program.
03. APPLICATION DEADLINE
The application period will be open continuously from the date of publication on the promalaga.es website until September 2026, with the specific date announced on the Promálaga website.
04. CALLS FOR PROPOSALS
Two calls will be held during the program:
- 1st call: April/May/June
- 2nd call: September/October/November
05. PROCEDURE
- Submitting the application to participate in the program available on the Promálaga website, or by clicking on application.
- Applications received during the application period will be evaluated prior to the start of each call, once they have met the minimum entry requirements, based on their level of innovation, sustainability, scalability, growth potential, promoting team, value proposition, and technology. For this evaluation, a virtual, in-person, or telephone meeting may be arranged.
- Once the application has been accepted and evaluated, each applicant will be notified of this information and will be required to begin the program.
- Applicants who are admitted but are left out of the first round due to lack of space will be placed on a waiting list and may be eligible to participate in the second round.

06. PROGRAM CONTENT
The duration of the program is three months, broken down into 3 modules that include group and individual sessions:
- Module 1 - Create your startup: Business structure: composition, corporate purpose, share capital, know-how or social activity to be developed. Organization of personal and material resources: what I do and with whom. Stage of the company's life cycle. Business model.
- Module 2 - Activate your talent: Level of innovation and protection of intangible assets. Activation of intangible assets. Protection of intellectual and industrial property, development of patents and trademarks. Use of proprietary technology. Suppliers and clients. Trade secret protocol. Types of contracts: NDAs, contracts for key project personnel, collaboration agreements, or development commissions.
- Module 3 - Create and Grow: Degree of scalability. Definition and purpose of a shareholders' agreement. Proposals for shareholders' agreements or parasocial agreements adapted to the current and foreseeable structure of the entity: Management team and shareholders. Main clauses: Regulation of shareholders' obligations, control clauses, exit agreements. Financing model. Entry of investor partners and investment agreement.
